Gents, quick question: I've got an LLC in which I provide a service and develop products. I have developed one that I (and my investors) believe has a huge earnings potential. Life changing even.

I need to raise capital to pay for the development, but I do not want to lose any of my equity. I have heard a bit about selling toshadow-investors, which allows them to cash out for thevalueof the stock vs. giving them any actual business ownership. (Edit: there are many tax advantages to being a shadow-share holder, though you do get hit with higher taxes when cashing out).

Is this something I can just put in writing with a simple contract, or do I need to hire a securities lawyer to make sure the SEC doesn't go in dry on me this tax season?
